LunosLab Terms of Service

Effective date: [DD Month YYYY]Last updated: [DD Month YYYY]

These Terms of Service ("Terms") govern access to and use of the LunosLab platform, websites, dashboards, application programming interfaces, messaging channels, artificial-intelligence features, and related services collectively referred to as the "Service." These Terms form a legally binding agreement between [Full legal entity name], a company registered under the laws of Thailand with company registration number [registration number] and registered address at [registered address] ("LunosLab," "we," "us," or "our"); and the person or organisation registering for, purchasing, accessing, or using the Service ("Customer," "you," or "your"). By creating an account, accepting an order form, clicking an acceptance button, or accessing or using the Service, you agree to these Terms. If you access the Service on behalf of a hotel, resort, accommodation provider, hospitality group, or another organisation, you represent that you have authority to bind that organisation to these Terms.

1. Definitions

For these Terms: 1.1 Account means a registered account through which the Customer and its Authorised Users access the Service. 1.2 Authorised User means an employee, contractor, representative, or other person authorised by the Customer to access the Service. 1.3 Customer Content means information, text, documents, knowledge-base materials, images, logos, room information, prices, promotions, policies, responses, instructions, and other content supplied, uploaded, transmitted, or made available by the Customer through the Service. 1.4 Customer Data means personal and non-personal data submitted to, transmitted through, generated within, or accessed by the Service on behalf of the Customer, including Guest Data. 1.5 Documentation means LunosLab’s then-current user guides, technical documentation, usage instructions, and policies relating to the Service. 1.6 Guest means a traveller, prospective guest, hotel visitor, customer, or other end user who communicates with or receives services from the Customer. 1.7 Guest Data means information relating to a Guest, including identity information, contact information, conversations, booking details, preferences, requests, attachments, service records, and information received from connected systems. 1.8 Messaging Channel means LINE, WhatsApp, Facebook Messenger, Instagram, email, web chat, WeChat, or another communication service connected to LunosLab. 1.9 Property means a hotel, resort, hostel, serviced apartment, villa, accommodation provider, restaurant, spa, or other hospitality operation configured within the Service. 1.10 Subscription Plan means the applicable free, paid, trial, or enterprise plan selected by or provided to the Customer. 1.11 Third-Party Service means any service, platform, application, model provider, payment provider, booking engine, property management system, channel manager, Messaging Channel, or other connected service supplied by a third party.

2. The LunosLab Service

LunosLab is an omnichannel communication and hospitality-service platform. Depending on the Customer’s Subscription Plan and configuration, the Service may enable the Customer to receive and manage messages from multiple Messaging Channels; respond to Guest enquiries; manage conversations across teams or Properties; provide automated or AI-assisted responses; search room, package, promotion, or service information; create, update, confirm, or cancel booking requests; send booking and service notifications; manage Guest requests and operational tasks; translate and summarise conversations; integrate with booking engines, payment providers, property management systems, customer relationship systems, and other Third-Party Services; store and manage Customer Content; generate reports, analytics, and operational insights; and perform other hospitality-related workflows made available by LunosLab. Features may vary according to the Customer’s Subscription Plan, location, channel availability, and configuration.

3. LunosLab is a technology provider

LunosLab provides software and related technology services. Unless expressly stated in an Order Form, LunosLab does not own, operate, manage, or control the Customer’s Property; is not a hotel, accommodation provider, travel agent, payment institution, or tour operator; does not become a party to any booking or transaction between the Customer and a Guest; does not set room availability, prices, cancellation conditions, hotel policies, or Guest eligibility; does not guarantee that a Guest will complete a booking or payment; and is not responsible for the Customer’s performance or delivery of accommodation, transportation, food, activities, or other services. The Customer remains solely responsible for its relationship with each Guest and for fulfilling all bookings, reservations, promotions, representations, and service commitments made through the Service.

4. Eligibility and authority

To register for or use the Service, you must be at least 18 years old; have legal capacity to enter into a binding agreement; have authority to bind an organisation when acting for it; use the Service only as permitted by applicable law; and provide complete, accurate, and current registration information. LunosLab may request information or documentation reasonably necessary to confirm your identity, authority, business information, or eligibility.

5. Accounts and Authorised Users

5.1 Account responsibility. The Customer is responsible for maintaining accurate Account information; controlling who may become an Authorised User; assigning appropriate roles and permissions; protecting passwords, access tokens, API keys, and channel credentials; all activities performed through its Accounts and credentials; and promptly disabling access when an Authorised User is no longer authorised. 5.2 Account security. The Customer must notify LunosLab promptly at [security email] after becoming aware of unauthorised Account access, compromised credentials, suspicious activity, or an actual or suspected security incident involving the Service. LunosLab may require password resets, credential rotation, multi-factor authentication, or other reasonable security measures. 5.3 Shared accounts. Authorised Users should use individually assigned accounts where the Service supports them. The Customer must not share one user account among unrelated individuals where doing so would prevent appropriate access control or auditing. 5.4 Customer administration. A Customer administrator may manage Authorised Users, permissions, channels, Properties, retention settings, and other Account configurations. The Customer is responsible for actions taken by its administrators.

6. Subscription Plans, orders, and fees

6.1 Subscription Plans. Available Subscription Plans, features, usage allowances, and prices may be described on the LunosLab pricing page, in an Order Form, or in another written agreement. Where an Order Form conflicts with these Terms, the Order Form will control for that specific order. 6.2 Usage limits. Subscription Plans may include limits relating to Properties, Authorised Users, Messaging Channels, conversations or messages, AI usage, storage, channels, API calls, automation executions, support level, and other resources. The Customer must not intentionally circumvent usage limits. Where the Customer exceeds an applicable allowance, LunosLab may charge applicable overage fees, request an upgrade, temporarily restrict the affected feature, or apply another remedy specified in the applicable Order Form. 6.3 Free and trial plans. Free and trial plans may have limited features, capacity, retention, support, or availability. Unless otherwise stated, trial access expires automatically at the end of the trial period; LunosLab may modify or discontinue a free plan by providing reasonable notice; data and configurations associated with an expired trial may be deleted after [number] days; and service-level commitments do not apply to free or trial plans. 6.4 Fees. The Customer must pay all fees specified in the applicable Subscription Plan or Order Form. Unless otherwise stated, fees are quoted in Thai baht; exclude value-added tax and other applicable taxes; subscription fees are billed in advance; usage-based and overage fees may be billed in arrears; and setup, onboarding, implementation, customisation, and channel fees are non-refundable once the relevant work begins. 6.5 Taxes. The Customer is responsible for taxes, duties, levies, and governmental charges arising from its purchase or use of the Service, excluding taxes based on LunosLab’s net income. Where withholding tax applies, the Customer must provide valid withholding-tax documentation as required by applicable law. 6.6 Payment. The Customer authorises LunosLab and its payment providers to charge the applicable payment method for recurring fees, taxes, and authorised usage charges. The Customer must maintain valid and current billing information. 6.7 Late payment. Where an undisputed amount remains unpaid after its due date, LunosLab may send payment reminders; apply legally permitted interest or late fees; restrict paid features; suspend the Account after providing reasonable notice; or terminate the affected subscription if payment remains outstanding for more than [14/30] days. The Customer must notify LunosLab of a good-faith billing dispute within [15/30] days after the relevant invoice date.

7. Renewal, cancellation, and refunds

7.1 Automatic renewal. Unless an Order Form states otherwise, paid subscriptions renew automatically for successive periods equal to the initial subscription period. The Customer authorises LunosLab to collect applicable renewal fees using the Customer’s payment method. 7.2 Cancellation. The Customer may cancel a subscription through the Account dashboard or by contacting [billing email]. Unless otherwise stated, cancellation takes effect at the end of the current paid subscription period; the Customer may continue using paid features until that period ends; cancellation does not relieve the Customer of amounts already due; and partial subscription periods are not refunded. 7.3 Refunds. Fees are non-refundable except where required by applicable law; expressly stated in an Order Form; LunosLab permanently discontinues the paid Service without providing a substantially equivalent replacement; LunosLab approves a refund in writing; or a service-credit or refund right applies under an agreed Service Level Agreement. Failure or unavailability caused by the Customer, a Guest, a Messaging Channel, the internet, a Third-Party Service, or an event outside LunosLab’s reasonable control does not create a right to a refund.

8. Customer responsibilities

The Customer is responsible for operating its hospitality business lawfully; providing accurate Property, room, price, availability, policy, promotion, and service information; reviewing and maintaining its Customer Content; configuring automations and AI features appropriately; supervising Authorised Users; reviewing important Guest communications; confirming bookings and payments; fulfilling bookings and Guest requests; handling refunds, cancellations, disputes, complaints, and chargebacks involving Guests; providing Guest-facing terms, booking conditions, cancellation policies, and privacy notices; obtaining legally required licences, approvals, and consents; ensuring its use of Messaging Channels complies with those platforms’ rules; and ensuring its use of the Service complies with applicable consumer-protection, advertising, privacy, electronic-transaction, hotel, tourism, tax, and other laws. The Customer must not represent that LunosLab owns, operates, guarantees, or is responsible for the Customer’s Property or hospitality services.

9. Booking and reservation features

9.1 Booking information. Booking features may rely on Customer Content or data supplied by Third-Party Services. The Customer is responsible for ensuring room availability is accurate; prices, taxes, fees, and inclusions are correctly stated; promotions and restrictions are current; cancellation and refund conditions are disclosed; booking confirmations are reviewed and honoured; and applicable Guest information is transmitted to the correct systems. 9.2 Booking confirmation. A message generated through LunosLab does not necessarily create a confirmed booking. A booking becomes confirmed only according to the Customer’s booking process, policies, and connected booking systems. The Customer must clearly communicate whether a response is general information, a quotation, a temporary reservation, a booking request, a confirmed booking, a payment request, or a cancellation or amendment. 9.3 Booking errors. The Customer must promptly address duplicate bookings, incorrect availability, incorrect prices, channel failures, or other booking errors. LunosLab may assist in investigating a technical issue but is not responsible for relocation or alternative accommodation costs, lost booking revenue, incorrect hotel inventory, incorrect prices supplied by the Customer or a Third-Party Service, Guest compensation, refunds or chargebacks, or the Customer’s failure to honour a booking.

10. Payments

Where the Service provides payment links or integrates with a payment provider, payments are processed by the applicable payment provider; the payment provider’s terms and privacy notice apply separately; LunosLab does not hold Guest funds unless expressly agreed in writing; LunosLab does not guarantee payment approval, settlement, or reversal; the Customer is responsible for payment-provider fees, refunds, disputes, chargebacks, fraud controls, and legal compliance; and the Customer must not request that Guests send full payment-card details through ordinary messaging conversations. LunosLab may display payment status received from a payment provider but is not responsible for incorrect, delayed, or incomplete payment information supplied by that provider.

11. Artificial intelligence features

11.1 AI-assisted functionality. The Service may use artificial intelligence to classify Guest messages; search Customer Content; translate communications; summarise conversations; extract booking or service information; recommend actions; suggest responses; generate automated responses; and assist with booking and hotel-service workflows. 11.2 AI limitations. Artificial-intelligence output is probabilistic and may be incorrect, incomplete, outdated, misleading, or unsuitable for a particular Guest or situation. The Customer must apply appropriate human review, especially where a communication concerns booking confirmation, prices or availability, payment, cancellation or refund rights, legal obligations, safety or emergency situations, health, allergies, accessibility, or dietary requirements, complaints or disputes, sensitive personal data, or high-value or unusual requests. 11.3 Customer configuration. The Customer is responsible for deciding which AI features to enable; providing accurate source materials; establishing escalation and approval rules; testing automation before production use; monitoring generated responses; correcting inaccurate information; and training Authorised Users to supervise AI-assisted workflows. 11.4 No professional advice. AI-generated content is not legal, financial, medical, safety, or other professional advice. 11.5 Model providers. Some AI functionality may depend on third-party model providers. Such providers may process data as LunosLab subprocessors or service providers, subject to applicable contractual and data-protection requirements.

12. Messaging Channels and Third-Party Services

12.1 Third-party dependency. The Service may interoperate with Third-Party Services. LunosLab does not control those services and does not guarantee their continued availability, compatibility, functionality, pricing, or security. 12.2 Separate terms. The Customer’s use of a Third-Party Service is governed by the Customer’s agreement with that provider. The Customer is responsible for creating and maintaining third-party accounts; paying third-party fees; granting appropriate permissions; protecting credentials and access tokens; complying with the provider’s terms and messaging policies; obtaining any required Guest permissions or opt-ins; and responding to policy violations or account restrictions. 12.3 Changes and interruptions. A Third-Party Service may change its APIs, terms, pricing, permissions, or functionality without LunosLab’s control. LunosLab may modify, restrict, or discontinue a channel where necessary due to technical changes, security risks, legal requirements, third-party restrictions, commercial unavailability, or discontinuation by the provider. 12.4 Messaging delivery. LunosLab does not guarantee that every message will be delivered, received, displayed, or delivered within a specific period. Message delivery may be affected by messaging-platform availability, recipient settings, network connectivity, rate limits, spam detection, template approval, messaging windows, account restrictions, or third-party policies.

13. Acceptable Use Policy

The Customer and its Authorised Users must not use the Service to violate any law or regulation; infringe intellectual-property, privacy, publicity, or other rights; send spam, phishing messages, or unlawful marketing; harass, threaten, deceive, or discriminate against another person; distribute malware or harmful code; conduct denial-of-service, brute-force, scraping, probing, or security attacks; attempt to bypass authentication, permissions, rate limits, or usage limits; access data belonging to another Customer without authorisation; reverse engineer, decompile, disassemble, or attempt to derive the source code except where applicable law expressly permits it; resell, sublicense, lease, or commercially provide the Service to another organisation without written authorisation; use the Service to build or train a competing product using unauthorised access to LunosLab technology or output; upload unlawful, fraudulent, defamatory, obscene, exploitative, or harmful content; collect or process personal data without an appropriate lawful basis; request unnecessary passwords, authentication codes, payment-card details, or highly sensitive information from Guests; impersonate another person or misrepresent affiliation; use the Service in a way that could damage, disable, overload, or impair the Service; interfere with the operation or security of the Service; use automated access methods except through authorised APIs or features; or use the Service for emergency dispatch, critical medical operations, or another high-risk purpose unless expressly agreed in writing. LunosLab may investigate suspected violations and may remove content, restrict functionality, suspend access, or terminate Accounts where reasonably necessary.

14. Customer Content and Customer Data

14.1 Customer ownership. As between the parties, the Customer retains ownership of its Customer Content and Customer Data. 14.2 Licence to LunosLab. The Customer grants LunosLab and its service providers a limited, non-exclusive, worldwide licence to host, copy, transmit, display, transform, index, process, and otherwise use Customer Content and Customer Data only as reasonably necessary to provide and secure the Service; support the Customer; prevent misuse; comply with applicable law; and perform obligations under the applicable agreement. This licence continues for as long as the relevant content or data remains within the Service, including applicable backup-retention periods. 14.3 Customer warranties. The Customer represents that it has all rights and permissions necessary to provide Customer Content and Customer Data to LunosLab; its instructions to LunosLab are lawful; Customer Content does not knowingly violate applicable law or another person’s rights; and Customer Content supplied for automated responses is accurate and appropriately maintained. 14.4 Removal and correction. LunosLab may remove or restrict Customer Content where it reasonably believes the content violates these Terms, creates a security risk, violates applicable law, infringes another person’s rights, or could cause material harm to LunosLab, a Guest, or another party. Where reasonably practicable, LunosLab will notify the Customer before or promptly after taking such action.

15. Personal data and privacy

Each party must comply with its obligations under applicable personal-data protection law. For Guest Data processed by LunosLab on behalf of the Customer, the Customer generally acts as Personal Data Controller; LunosLab generally acts as Personal Data Processor; the applicable Data Processing Agreement forms part of the parties’ agreement; the Customer is responsible for establishing a lawful basis and providing required notices; and LunosLab will process Guest Data according to the Customer’s documented instructions, except where otherwise required by law. LunosLab’s Personal Data Protection Notice and Privacy Notice describe its processing activities in greater detail. Where these Terms conflict with an executed Data Processing Agreement concerning personal-data processing, the Data Processing Agreement will control for that conflict.

16. Aggregated and de-identified information

LunosLab may generate and use aggregated or de-identified information that does not reasonably identify the Customer, an Authorised User, or a Guest. Such information may be used to operate and improve the Service; measure performance; understand usage patterns; develop features; produce industry benchmarks and reports; and support security and reliability. LunosLab will not attempt to re-identify information that has been properly de-identified, except where necessary to test the effectiveness of de-identification or as permitted by law.

17. LunosLab intellectual property

LunosLab and its licensors retain all rights, title, and interest in and to the Service; source code and object code; software architecture; user interfaces and designs; Documentation; models, prompts, configurations, and workflows developed by LunosLab; trademarks, names, logos, and branding; improvements, modifications, and derivative works; and all related intellectual-property rights. Except for the limited right to access and use the Service during the subscription period, no rights are transferred to the Customer. The Customer must not remove or obscure proprietary notices contained in the Service.

18. Feedback

The Customer may provide suggestions, ideas, requests, or feedback concerning the Service. The Customer grants LunosLab a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate such feedback without restriction or compensation, provided LunosLab does not publicly identify the Customer as the source without permission.

19. Confidentiality

Each party may receive non-public business, commercial, technical, security, or operational information from the other party. The receiving party must use confidential information only to perform or exercise rights under the agreement; protect it using reasonable care; disclose it only to personnel, advisers, and service providers who need access and are bound by confidentiality obligations; and not disclose it to another party without authorisation. Confidential information does not include information that the receiving party can demonstrate is publicly available without breach of an obligation, was lawfully known before disclosure, was lawfully obtained from another source without confidentiality restrictions, or was independently developed without use of the disclosing party’s confidential information. A party may disclose confidential information where required by law, provided it gives legally permitted notice and reasonable assistance to the other party.

20. Service availability and support

20.1 Service changes. LunosLab may improve, modify, add, remove, or replace features. LunosLab will provide reasonable notice where a change materially reduces a core paid feature during the Customer’s current subscription period, unless the change is necessary for security, legal compliance, or compatibility with a Third-Party Service. 20.2 Maintenance. LunosLab may perform scheduled or emergency maintenance. Where reasonably practicable, LunosLab will notify affected Customers of scheduled maintenance expected to cause material disruption. 20.3 Support. Support channels, response targets, and service hours depend on the applicable Subscription Plan or Order Form. Support response targets indicate when LunosLab intends to begin responding. They do not guarantee resolution within the same period. 20.4 Service-level commitments. Unless a separate Service Level Agreement or Order Form states otherwise: Free or trial plans receive best-effort availability and [3–5 business days] initial support response; Standard or Growth plans receive [99.5% per calendar month] availability and [1–2 business days] initial support response; Professional plans receive [99.9% per calendar month] availability and [Within 24 hours] initial support response; and Enterprise plans receive commitments specified in the Order Form. Availability calculations may exclude scheduled maintenance, emergency security maintenance, Customer-caused failures, Third-Party Service failures, Messaging Channel failures, internet or telecommunications failures, force majeure events, suspension permitted under these Terms, and beta or experimental features. Service credits, where offered, are the Customer’s sole remedy for failure to meet an availability commitment.

21. Beta and experimental features

LunosLab may provide preview, pilot, beta, early-access, or experimental features. Such features may be incomplete or unstable; may change or be discontinued without notice; may have additional conditions or usage limits; may not be suitable for production use; and are provided without service-level commitments. The Customer uses beta and experimental features at its own risk.

22. Suspension

LunosLab may suspend all or part of the Customer’s access where reasonably necessary because fees are overdue; the Customer violates these Terms; use of the Service creates a security or legal risk; LunosLab reasonably suspects fraud or unauthorised activity; a Third-Party Service disables a required channel; suspension is required by law or a competent authority; or continued use could materially harm LunosLab, another customer, a Guest, or the Service. Where reasonably practicable, LunosLab will notify the Customer and provide an opportunity to remedy the issue. LunosLab may suspend access immediately where urgent action is required to prevent harm, unlawful activity, or a security incident.

23. Term and termination

23.1 Term. These Terms begin when the Customer first accepts them or uses the Service and continue until all subscriptions and Accounts have ended. 23.2 Termination by the Customer. The Customer may terminate these Terms by cancelling all active subscriptions, paying all outstanding amounts, discontinuing use of the Service, and requesting Account closure. 23.3 Termination by LunosLab. LunosLab may terminate these Terms or an affected subscription where the Customer materially breaches these Terms and fails to remedy the breach within [15/30] days after notice; fees remain unpaid for more than [14/30] days; the Customer’s use creates a material security or legal risk; the Customer engages in fraud or unlawful activity; LunosLab is legally prohibited from continuing the Service; or LunosLab discontinues the Service and provides reasonable notice. LunosLab may terminate immediately where a breach cannot reasonably be remedied or where continued access could cause serious harm. 23.4 Effect of termination. Upon termination, the Customer’s right to use the Service ends; Authorised Users may lose access; outstanding fees become immediately payable; channels may be disconnected; LunosLab may delete Customer Content and Customer Data according to the applicable retention and deletion policy; and Terms that by their nature should survive will remain effective. 23.5 Data export. During the subscription and for [30] days after termination, the Customer may request export of Customer Data in an available standard format, subject to payment of outstanding fees, technical feasibility, legal restrictions, and the applicable Subscription Plan or Order Form. After the export period, LunosLab may delete or anonymise Customer Data unless retention is required by law.

24. Customer indemnity

To the extent permitted by law, the Customer will indemnify and hold harmless LunosLab, its affiliates, directors, officers, and personnel from third-party claims, losses, damages, liabilities, penalties, and reasonable legal expenses arising from the Customer’s hospitality services; a booking, cancellation, refund, Guest complaint, or payment dispute; Customer Content; the Customer’s breach of these Terms; the Customer’s violation of law; the Customer’s infringement of another party’s rights; an unlawful or unauthorised instruction given to LunosLab; or misuse of the Service by the Customer or its Authorised Users. LunosLab must promptly notify the Customer of an indemnified claim and provide reasonable cooperation. The Customer may not settle a claim in a manner that admits fault by or imposes a non-monetary obligation on LunosLab without LunosLab’s written consent.

25. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. LunosLab does not warrant that the Service will be uninterrupted or error-free; every message will be delivered; every channel will remain available; AI-generated output will be accurate; Customer Content will produce a particular result; the Service will meet every Customer requirement; the Service will prevent all fraud, loss, misuse, or security incidents; or every booking, payment, or system synchronisation will complete successfully. The Customer is responsible for maintaining reasonable business-continuity procedures and alternative methods for handling Guest communications and bookings during a disruption. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

26. Limitation of liability

To the maximum extent permitted by applicable law: 26.1 Excluded losses. Neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits; loss of revenue; loss of anticipated savings; loss of goodwill; loss of business opportunity; loss caused by business interruption; or loss of data, except to the extent directly caused by that party’s breach of its obligations. This exclusion applies regardless of the legal theory and even if the party was informed that such loss was possible. 26.2 Liability cap. Except for Excluded Claims, each party’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the fees paid or payable by the Customer to LunosLab during the [3/6/12] months immediately preceding the event giving rise to the claim. For a free or trial plan, LunosLab’s total aggregate liability will not exceed THB [amount]. 26.3 Excluded Claims. The liability cap does not apply to the extent liability results from fraud or wilful misconduct; death or personal injury caused by negligence where liability cannot legally be limited; the Customer’s payment obligations; the Customer’s indemnification obligations; infringement or misappropriation of the other party’s intellectual property; or liability that cannot be excluded or limited under applicable law. 26.4 Third-Party Services. LunosLab is not liable for an interruption, loss, delay, restriction, error, or security incident caused by a Third-Party Service outside LunosLab’s reasonable control.

27. Force majeure

Neither party will be liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters; floods, fires, storms, or earthquakes; epidemics or pandemics; war, terrorism, civil unrest, or government action; labour disputes; power, internet, cloud, or telecommunications failures; cyberattacks not reasonably preventable through appropriate security measures; failure or discontinuation of a Third-Party Service; or changes in law or regulatory requirements. The affected party must take reasonable steps to reduce the impact and resume performance.

28. Changes to these Terms

LunosLab may update these Terms to reflect changes in the Service, business practices, security requirements, Third-Party Services, applicable law, or regulatory guidance. For material changes, LunosLab will provide at least [30] days’ advance notice by email, through the Service, or by another reasonable method, unless an earlier change is required for legal or security reasons. Continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms. Where the Customer does not accept a material change that substantially disadvantages the Customer, the Customer may terminate the affected subscription before the change takes effect by notifying LunosLab.

29. Notices

Notices to LunosLab must be sent to: [Full legal entity name] [Registered address] Email: [email protected] LunosLab may send notices to the email address associated with the Customer’s Account, through the Service, or to another contact specified in an Order Form. Notices are considered received when delivered by hand; when confirmed by email transmission without delivery failure; on the recorded delivery date when sent by registered post; or when displayed within the Service, where in-product notice is appropriate.

30. Governing law and disputes

These Terms are governed by the laws of Thailand, without regard to conflict-of-law principles. Before commencing formal proceedings, the parties must attempt in good faith to resolve a dispute through negotiation for at least 30 days after written notice of the dispute. [Choose one before publication] Option A — Thai courts: The courts of Thailand having jurisdiction in Bangkok shall have exclusive jurisdiction. Option B — Arbitration: The dispute shall be finally resolved by arbitration administered by the Thai Arbitration Institute under its applicable arbitration rules. The seat of arbitration shall be Bangkok, Thailand. The arbitration shall be conducted in [Thai/English] by [one/three] arbitrator[s]. Nothing prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

31. Order of precedence

Where documents conflict, the following order applies unless expressly agreed otherwise: 1. An executed Order Form; 2. An executed enterprise or master service agreement; 3. The Data Processing Agreement, for personal-data processing matters; 4. A Service Level Agreement; 5. These Terms; 6. The Documentation.

32. General provisions

32.1 Assignment. The Customer may not assign or transfer its rights or obligations without LunosLab’s prior written consent. LunosLab may assign these Terms to an affiliate or in connection with a merger, reorganisation, financing, acquisition, or sale of all or substantially all of its relevant business or assets. 32.2 Subcontractors. LunosLab may use affiliates, contractors, infrastructure providers, and subprocessors to provide the Service. LunosLab remains responsible for their performance to the extent required under the applicable agreement and law. 32.3 No partnership or agency. These Terms do not create a partnership, joint venture, franchise, employment, fiduciary, or agency relationship between the parties. Neither party may bind the other without written authority. 32.4 No third-party beneficiaries. Except where expressly stated, these Terms do not grant rights to any third party. 32.5 Severability. If a provision is held unlawful or unenforceable, it will be modified to the minimum extent necessary to make it enforceable.
